SwigCom Technologies Private Limited, on behalf of itself and its affiliates/group companies under the brand “SixBeesAI” (“SixBeesAI”), is the author and publisher of the internet resource www.sixbeesai.com and the mobile application ‘SixBeesAI’ (together, “Website”).
These Terms of Service ("Terms") form a legally binding agreement between you (the "Customer", "you", or "your") and SixBeesAI ("SixBeesAI", "we", "us", or "our") and govern your access to and use of our websites, platform, dashboard, APIs, integrations, and related services (collectively, the "Services"). By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
1. Acceptance of Terms
By creating an account, clicking "I agree", or otherwise accessing or using the Services, you agree to these Terms on behalf of yourself and any entity you represent. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, and "you" refers to that entity.
These Terms incorporate by reference our Privacy Policy, Cancellation & Refund Policy, and any additional guidelines, order forms, or policies we publish. Your continued use of the Services constitutes ongoing acceptance of these Terms as they may be updated from time to time.
2. Definitions
- Services: All products, platforms, dashboards, APIs, integrations, software, and websites provided by SixBeesAI.
- Account: The registered account through which you access the Services.
- Customer Data: Content, messages, contacts, and information you submit to or process through the Services.
- Subscription: A paid plan providing access to specified features for a defined billing period.
- Third-Party Services: External platforms and providers (e.g., WhatsApp/Meta, Google, hosting and payment providers) that the Services integrate with or depend upon.
- Documentation: User guides, help articles, and technical materials we make available.
3. Eligibility & Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business and professional use only and are not directed to consumers or individuals under 18.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account. You agree to provide accurate, current, and complete information and to keep it up to date. We are not liable for any loss or damage arising from your failure to safeguard your credentials or from any unauthorized use of your Account.
4. License & Access
Subject to your compliance with these Terms and payment of applicable fees, SixBeesAIgrants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes during the term of your Subscription.
We reserve all rights not expressly granted to you. This license does not permit you to, and you agree not to:
- Copy, modify, translate, or create derivative works of the Services;
- Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the limited extent permitted by applicable law;
- Resell, sublicense, rent, lease, or otherwise commercially exploit the Services without our prior written consent;
- Circumvent or disable any usage limits, security, or access-control features;
- Use the Services to build a competing product or service, or to benchmark without our written permission.
5. Acceptable Use Policy
You agree that you will not, and will not permit any third party to, use the Services to:
- Send spam, unsolicited, bulk, or unlawful messages, or otherwise violate any anti-spam or telecommunications laws;
- Message any recipient without obtaining all legally required consents and opt-ins;
- Transmit content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or infringing;
- Distribute malware, viruses, or any harmful or disruptive code;
- Infringe or misappropriate any intellectual property, privacy, or other rights of any person;
- Attempt to gain unauthorized access to the Services, other accounts, or our systems or networks;
- Interfere with or disrupt the integrity or performance of the Services;
- Violate WhatsApp/Meta policies, Google API policies, or any other applicable Third-Party Service terms;
- Use the Services in any manner that could damage, disable, overburden, or impair them.
6. Customer Responsibilities & Compliance
You are solely responsible for your use of the Services, your Customer Data, and all communications you send. Without limiting the foregoing, you represent, warrant, and agree that:
- You have obtained and will maintain all necessary consents, permissions, and opt-ins from message recipients and data subjects;
- Your use of the Services complies with all applicable laws, regulations, and Third-Party Service policies, including WhatsApp Business Terms and Commerce Policy;
- You are responsible for the accuracy, quality, legality, and appropriateness of all Customer Data;
- You will not rely on the Services for activities where failure could lead to death, personal injury, or environmental or property damage;
- You will promptly notify us of any unauthorized use of your Account or any suspected security breach.
7. Third-Party Services & Dependencies
The Services integrate with and depend on Third-Party Services, including the WhatsApp Business Platform, Meta, Google APIs, hosting providers, and payment processors. Your use of any Third-Party Service is governed by that provider's own terms and policies, and you are responsible for complying with them.
SixBeesAI does not control and is not responsible for Third-Party Services and disclaims all liability for any outage, restriction, suspension, policy change, account limitation, data loss, or disruption caused by or arising from any Third-Party Service. Any such event does not entitle you to a refund or credit.
8. Fees, Billing & Taxes
8.1 Fees
You agree to pay all fees for the Subscription plan you select, as described at the time of purchase. Unless stated otherwise, all fees are quoted and payable in the currency shown at checkout and are exclusive of taxes.
8.2 Automatic Renewal
Subscriptions renew automatically at the end of each billing period at the then-current rates unless cancelled before the renewal date. By subscribing, you authorize us and our payment processors to charge your payment method on a recurring basis.
8.3 No Refunds
Except as expressly stated in our Cancellation & Refund Policy or as required by applicable law, all fees are non-refundable. Downgrades, cancellations, or non-use do not entitle you to any refund or credit for the current billing period.
8.4 Taxes
You are responsible for all applicable taxes, duties, and government levies, other than taxes based on our net income. If we are required to collect such taxes, they will be added to your invoice.
8.5 Late Payment & Price Changes
We may suspend or terminate access for overdue amounts and may charge interest on late payments to the maximum extent permitted by law. We may change our fees at any time, with changes taking effect at the start of your next billing period.
9. Free Trials & Beta Features
We may offer free trials or make beta, preview, or experimental features available. Such features are provided "as is" and "as available", may be modified or discontinued at any time, and may be subject to additional terms. To avoid charges after a trial, you must cancel before the trial period ends. We make no warranties regarding beta features and disclaim all liability arising from their use.
10. Intellectual Property Rights
The Services, including all software, technology, designs, text, graphics, trademarks, logos, and other content (excluding Customer Data), are and remain the exclusive property of SixBeesAI and its licensors, and are protected by intellectual property and other laws. No rights are granted to you except the limited license expressly set out in these Terms.
10.1 Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant SixBeesAIa perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use and incorporate such feedback without any obligation or compensation to you.
11. Customer Data & Content
As between the parties, you retain all rights in your Customer Data. You grant SixBeesAI a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely as necessary to provide, maintain, secure, and improve the Services and as permitted by our Privacy Policy.
You are solely responsible for your Customer Data and for maintaining appropriate backups. To the extent permitted by law, SixBeesAI is not liable for any loss, corruption, or unauthorized access to Customer Data except to the extent directly caused by our gross negligence or willful misconduct.
12. Confidentiality
Each party may access confidential information of the other. The receiving party agrees to protect such information using at least reasonable care, to use it only to perform under these Terms, and not to disclose it except to personnel or advisors bound by confidentiality obligations. This section does not apply to information that is public, independently developed, or rightfully received from a third party without restriction.
13. Service Availability & Support
We strive to keep the Services available but do not guarantee uninterrupted or error-free operation. The Services may be unavailable due to maintenance, updates, or factors beyond our reasonable control. Unless a separate written service-level agreement is in place, the Services are provided without any uptime commitment, and scheduled or emergency maintenance does not constitute a breach of these Terms or entitle you to any credit or refund.
14. Suspension & Termination
14.1 By You
You may cancel your Subscription at any time in accordance with our Cancellation & Refund Policy. Cancellation stops future renewals; access continues until the end of the paid billing period.
14.2 By SixBeesAI
We may suspend or terminate your access, in whole or in part, immediately and without liability, if:
- You breach these Terms or any incorporated policy;
- You fail to pay fees when due;
- Your use poses a security, legal, or reputational risk to us, our users, or Third-Party Services;
- Required by law, regulation, or a Third-Party Service; or
- We reasonably suspect fraud, abuse, or misuse.
14.3 Effect of Termination
Upon termination, your license to use the Services ends immediately. We may delete or de-provision your Account and Customer Data after a reasonable period in accordance with our Privacy Policy. No refund will be provided for any termination arising from your breach or misuse. Sections that by their nature should survive termination (including fees owed, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
15. Disclaimers of Warranties
SixBeesAI does not warrant that the Services will be uninterrupted, secure, timely, error-free, or that they will meet your requirements, or that any results, message delivery, or business outcomes will be achieved. You assume full responsibility and risk for your use of the Services.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SixBeesAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU ACTUALLY PAID TO SixBeesAI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED (100) UNITS OF THE APPLICABLE CURRENCY. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
17. Indemnification
You agree to defend, indemnify, and hold harmless SixBeesAI and its affiliates, officers, directors, employees, agents, and suppliers from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the Services;
- Your Customer Data or the content of your communications;
- Your violation of these Terms or any applicable law;
- Your violation of any Third-Party Service terms or any third-party rights, including intellectual property or privacy rights; and
- Any messages sent through your Account without proper consent.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us.
18. Force Majeure
SixBeesAI will not be liable or in breach for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, power outages, cyberattacks, or failures or restrictions of Third-Party Services.
19. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to its conflict-of-law principles. Subject to the following, the courts located in Gautam Buddha Nagar, Uttar Pradesh, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to such jurisdiction and venue.
19.1 Informal Resolution
Before initiating any formal proceeding, you agree to first contact us and attempt in good faith to resolve the dispute informally for a period of at least thirty (30) days.
19.2 Time Limitation
To the extent permitted by law, any claim arising out of or relating to the Services or these Terms must be brought within one (1) year after the cause of action arises, otherwise it is permanently barred.
20. Changes to the Terms
We may modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and may provide additional notice. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
21. General Provisions
- Entire Agreement: These Terms, together with the incorporated policies and any order form, constitute the entire agreement between you and SixBeesAI and supersede all prior agreements.
- Severability: If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: You may not assign or transfer these Terms without our prior written consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets.
- Relationship: The parties are independent contractors; nothing creates a partnership, agency, or employment relationship.
- No Third-Party Beneficiaries: These Terms do not confer any rights on any third party except as expressly stated.
- Notices: We may provide notices to you via email or through the Services.
